SHARE’s Director of Shareholder Engagement reflects on lobbying disclosure and oversight shareholder resolutions at Imperial Oil (TSX:IMO), Bombardier Inc. (TSX:BBD), Encana Corporation (TSX:ECA), and SNC-Lavalin Group Inc. (TSX:SNC).
Kevin Thomas has been appointed as the new Executive Director of the Shareholder Association for Research & Education (SHARE), starting June 1, 2018. Peter Chapman is stepping down after 18 years at the helm of the organization.
On April 26 SHARE presented a shareholder proposal about board gender diversity at the Annual General meeting of Constellation Software on behalf of the Fonds de Solidarité des Travailleurs du Québec. The proposal received 49.16% of the shareholder vote; the highest vote for a gender diversity proposal ever in Canada.
SHARE is hiring a Shareholder Engagement Clerk to assist the Shareholder Engagement Manager with administrative and research support for SHARE’s shareholder engagement service on social, environmental and governance (ESG) issues.
SHARE engages with publicly-traded corporations on behalf of a growing group of institutional investors on a range of issues including climate risk, responsible resource development, executive compensation and decent work. The goal of these engagement efforts is to improve the ESG performance of companies in our clients’ portfolios and help to build a more sustainable Canadian economy.
This position includes the following responsibilities:
- Maintain and organize electronic and paper records of engagement activity;
- Events planning and implementation e.g. webinars, roundtables, etc.;
- Scheduling engagement meetings with companies and other stakeholders;
- Scheduling meetings with policy makers, preparing briefing materials, and assisting with follow-up correspondence;
- Scheduling engagement team meetings, workshops, etc.;
- Prepare and proofread client reports;
- Collecting and organizing data for corporate engagements, special projects and reports; and
- Other duties as assigned.
The Shareholder Engagement Clerk will have the following skills and qualities:
- Bachelor’s degree in a relevant field or equivalent experience;
- Demonstrated research and administrative skills
- Excellent writing skills
- Communicates in a clear, concise, persuasive and accurate manner
- Ability to organize and maintain records of detailed information;
- Strong organizational and time management skills;
- Interest in and enthusiasm for responsible investment;
- Fluency in English. Fluency in French an asset;
- Ability to work independently and comfortably at a variety of tasks; and
- Computer literacy (including MS Office).

SHARE is looking for a Project Coordinator to fulfill a one-year contract to help coordinate the Reconciliation and Responsible Investment Initiative.
The Reconciliation and Responsible Investment Initiative is a joint project of SHARE and the National Aboriginal Trust Officers Association (NATOA) with the goal of building leadership among Indigenous and non-Indigenous investors to support reconciliation through their investment and stewardship policies and practices. The Project Coordinator will have regular interaction with indigenous trustees, trust officers and communities.
Reporting to SHARE’s Director of Responsible Investment, the project coordinator will be responsible for coordinating activities for the RRII initiative including internal and external communications, workshops and events as well as conducting research and contributing to reports. The project coordinator will work closely with and support the Project Steering Committee. The ideal candidate will have some experience in a similar project coordination role and be willing to work in a fast-paced environment. The position requires a detail-oriented person with strong organizational skills, who has the ability to work as part of a team and manage multiple priorities as well as to perform tasks with minimal supervision. Strong written and oral communications skills as well as a positive attitude are critical. The ability to travel in Canada is a requirement for this position.

Project Coordination and Communications
- Coordinate project communications with internal and external stakeholders.
- Organize meetings with the Project Steering Committee and prepare relevant meeting materials.
- Receive and respond to requests for information about the RRII.
- Help to prepare reports to funders.
- Coordinate event logistics for courses, conferences and special events.
- Source and liaise with event suppliers such as hotels, caterers, volunteers and audio-visual services.
- Coordinate with the National Aboriginal Trust Officers Association, individual Indigenous Trust officers and communities to coordinate workshop logistics, content.
- Communicate with event partners, speakers and participants.
- Help create and carry out marketing campaigns and outreach efforts for RRII events and courses.
- Conduct research on the opportunities and challenges associated with Indigenous employment, contracting and advancement opportunities.
- Coordinate interviews with Indigenous organizations, institutional investors, asset managers and other key stakeholders on Indigenous employment, contracting and advancement opportunities.
- Assist with drafting research documents and reports.
SKILLS & QUALIFICATIONS
- University degree in business, finance, economics, social sciences or a related discipline, or a combination of related education and work experience
- Two years’ experience in a similar position
- Highly organized, accurate, attentive to detail, with excellent time management skills
- Maintains a positive, flexible and responsive attitude and team-oriented style
- Strong writing skills
- Proven computer skills in Microsoft Office, web-based applications and contact relationship management (CRM) databases
- Some knowledge of, or background in responsible investment considered an asset
- Previous project coordination experience an asset

In an era marked by Cape Town’s looming ‘day zero’, the value of water cannot be overstated, and understanding water-related risks is essential for investors. SHARE, on behalf of The Fonds de Solidarité des Travailleurs du Québec (FTQ), has filed a shareholder proposal requesting better disclosure from Canadian company Imperial Oil on its exposure to and management of water-related risks.
This quarter SHARE achieved two strong successes on human rights by raising the stakes of our engagements and helping shareholders exercise their right to file resolutions with a company. In both cases we were able to achieve important progress without going to a vote.
Eight more Canadian companies have scheduled annual advisory votes on executive compensation (“Say on Pay” votes) after being approached by institutional investors working together to promote the practice.
SNC-Lavalin is actively engaged in lobbying activity in a number of Canadian and foreign jurisdictions. Over the years, concerns have been raised with the company’s operations in Canada and internationally and the processes through which the company lobbies for lucrative government contracts. The proposal filed by the Fonds de Solidarité (FTQ), represented by the Shareholder Association for Research and Education (SHARE), seeks information about the oversight and extent of SNC-Lavalin’s contributions to political activity.
Gender diversity is a critical attribute of a well functioning board and a measure of sound corporate governance. Constellation Software Inc. does not currently have such a policy. It does not have any women in executive office and only 1 of 10 director candidates proposed for election at the 2018 AGM is a woman. The Fonds de Solidarité FTQ, represented by SHARE, filed a shareholder proposal for consideration at the 2018 AGM of Constellation targeted at improving the company’s approach to gender diversity.
