Gender Diversity at Alberta-incorporated companies on the TSX Composite Index

Following on our 2017 report “Off the Ballot”, SHARE reviewed the most recent annual data on board and executive level diversity at every company on the TSX Composite Index, and found that Alberta-incorporated companies continue to lag their peers on average on gender diversity. We note that outdated Alberta corporate laws that restrict shareholder proposals limit the ability of institutional investors to press for change.

Off the Ballot: Why Alberta’s business laws need to catch up on shareholder democracy

Shareholders of Alberta-incorporated companies face regulatory impediments under the Alberta Business Corporations Act (ABCA) making it effectively impossible for shareholders to file resolutions to be voted at companies’ annual meetings. This report compares Alberta-incorporated companies on the TSX-Composite Index to their peers and finds Alberta-incorporated companies lag on the issues of gender diversity, corporate governance, and disclosures of information related to climate change.

Comment on the Ontario Securities Commission’s 2015-16 Draft Statement of Priorities

SHARE urged the Commission to: consult with stakeholders regarding adoption of regulations requiring issuers to hold an annual “say on pay” vote; provide guidance to issuers on disclosure of social considerations; study the potential for mandatory ESG reporting by issuers; extend its investor education activities; study the market-level risks created by climate change; and consider adopting greenhouse gas emissions reporting requirements including requiring energy producers to quantify the carbon price forecasts they use in capital expenditure decisions.
